The terms we work on
In plain English, because terms nobody can read protect nobody. If anything here is unclear, ask — we'd rather explain it now than argue about it later.

A note on this version
These are our current working terms. A more detailed services agreement is with our lawyers, and when it's finished it will replace this page. If you have signed a services agreement with us, that agreement governs our relationship and prevails over anything on this page.
Either way, nothing here takes away rights you have under the Australian Consumer Law.
1. Who these terms are between
"We", "us" and "YouGrowIT" mean Eden Enterprises Pty Ltd ATF IT Help Trust, ABN 72 312 152 267, of Melbourne, Victoria. "You" means the business we're providing services to.
These terms apply to our support packages, pay-as-you-go work and one-off projects, from the point you accept a quote or we start work at your request, whichever happens first.
Where you have signed a separate services agreement with us, that agreement prevails to the extent of any inconsistency. Where a written quote for a specific project says something different to this page, the quote wins for that project.
2. What we provide
What's included depends on what you've bought. Support packages are described on the packages page and in the packages document, which is the authoritative statement of inclusions. Projects are defined by their written quote.
In short: your package covers looking after a working environment. It doesn't cover building a new one, repairing an environment that was in poor condition before we arrived, or hardware and software licences themselves. Those are quoted separately, in writing, before we start — project work never quietly appears on your monthly bill.
We may use qualified subcontractors and specialists for particular work. When we do, we remain responsible to you for it.
3. Support hours and response
Support hours are Monday to Friday, 8:30am to 5:30pm Melbourne time, excluding Victorian public holidays.
We commit to when a qualified engineer starts work on your issue — within 4, 2 or 1 business hours depending on your package. That is a commitment about starting, not about resolving. Some issues depend on Microsoft, your internet provider, a hardware vendor or a third-party application, and we can't promise a fix time for something outside our control. We'll tell you what's happening and keep you posted.
Requests received outside support hours are picked up when we next open, unless you have after-hours cover under your package or you engage us at after-hours rates.
4. Fair use
Package support is unlimited for normal business use. If usage runs far beyond what's typical for a business your size, we'll talk to you about it before anything changes on your bill. No surprises in either direction.
Shared mailboxes (sales@, accounts@ and the like) are included free on a fair-use basis, roughly one shared mailbox per two staff.
If we're waiting on information from you to progress a ticket, we'll check in twice and then park it. Reopening a parked ticket is one email.
5. Users, and how we count them
A user is a staff member with a work account — on an office PC, a company laptop at home, or their own computer. If they can log in to your systems, they're a user.
Contractors who only need an account and secure file access can be added as light users at a reduced rate: they get sign-in security and access support, but not device care or general helpdesk.
User numbers are reviewed each month and your invoice reflects the users active in that period. Package minimums apply where per-user pricing lands below them.
6. Fees, invoicing and payment
Package fees are billed monthly in advance by direct debit. Pay-as-you-go work and projects are invoiced as agreed in the quote, and payment is due within the terms shown on the invoice.
All published prices include GST unless stated otherwise. Where an ex-GST figure is shown alongside, it's for comparison only — the inc-GST figure is what you pay.
Software licences we arrange on your behalf are billed at cost. We don't add a margin to them.
If an invoice is genuinely in dispute, tell us and we'll sort it out — we won't suspend support over a disagreement being worked through in good faith. If an account is significantly overdue and unaddressed, we may suspend non-urgent work after giving you notice and a chance to fix it.
7. Changing your package or leaving
Everything is month to month. There's no minimum term, no lock-in and no exit fee.
To change package or cancel, tell us in writing before the end of a billing month and the change takes effect from the next one. We don't bill for a month you've cancelled and haven't started.
Projects already underway or quoted and accepted are completed and invoiced as agreed — cancelling a support package doesn't cancel a project mid-flight.
When you leave, you leave with everything. Passwords, administrator access, documentation and system details are handed over to you or your next provider as part of the service, at no additional charge. You own your accounts, your data and your documentation at all times — we hold access to do our job, not as leverage.
8. What we need from you
To do our job properly we need reasonable access to your systems and premises, the authority to make agreed changes, and a nominated person who can make decisions.
We also need you to tell us about things that affect the environment — new staff, departing staff, a system somebody else installed, a change of internet provider — because most of the problems we can't prevent are the ones we didn't know about.
You're responsible for the lawfulness of what you use your systems for, for your own compliance obligations, and for decisions you make against our advice. Where we recommend something for security or continuity and you decide not to do it, that's your call to make — but the consequences of that specific decision sit with you.
9. Your data and your privacy
Your data is yours. We access it only as needed to provide services, and we don't use it for anything else.

We treat your business information as confidential and expect the same in return. That obligation continues after we stop working together.
10. Security, honestly stated
We apply appropriate technical and organisational measures to the systems we manage, and we'll tell you plainly what's protected and what isn't.
We can't guarantee that a system will never be compromised, and you should be wary of anyone who does. What we do commit to is that if something happens, we'll tell you promptly and honestly, we'll help you deal with it, and we won't quietly hope you don't notice.
Backup and recovery are provided where your package or a written quote includes them. Where they aren't included, they aren't happening — if you're unsure which applies to you, ask us and we'll tell you straight.
11. Personal devices
We support your staff on personally-owned phones and laptops for work purposes: the work side is set up, secured and covered.
What we never do is take remote management control of a personal device unless the person who owns it opts in. Work data stays protected; personal files stay separate, private and theirs.
12. Liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees, and we're not going to pretend otherwise.
Beyond those non-excludable rights, and to the extent the law allows: we're each responsible for our own acts and omissions; we're not responsible for loss caused by something outside our reasonable control, by third-party services or vendors, or by a decision you made against our written advice; and our liability is reduced to the extent something you did or didn't do contributed to the loss.
Where our liability can lawfully be limited, we'll limit it to re-supplying the affected service or refunding what you paid for it.
We hold the insurances appropriate to work of this kind and will provide certificates of currency on request.
13. If something goes wrong between us
Tell us. Email admin@yougrowit.com.au or call 03 9028 4358 and it reaches the principal directly, not a complaints queue.
We'd rather fix a problem than win an argument about it. If we can't resolve something between us, we'll both try mediation before anyone goes near a court.
14. Changes to these terms
We may update these terms from time to time. If a change materially affects you, we'll tell you before it takes effect — and since everything is month to month, you're never stuck with a change you don't accept.
Pricing is reviewed periodically. You'll always get notice before anything changes, and a price rise is never applied to a project already quoted.
15. The formal bits
These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction.
Neither of us may transfer this arrangement to someone else without the other's agreement, which won't be unreasonably withheld.
If part of these terms turns out to be unenforceable, the rest still stands.
Nothing here creates a partnership, joint venture or employment relationship between us.
